Welcome to NoteRich. These Terms of Service ("Terms") govern your access to and use of the NoteRich application, website, and services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

⚠️ IMPORTANT NOTICE REGARDING LOCAL-FIRST ARCHITECTURE:
NoteRich is a "local-first" application. This means your notes, files, and knowledge bases are stored exclusively on your local device(s). We do not store, sync, or back up your personal data on our cloud servers. You are solely and entirely responsible for managing, securing, and backing up your own data.

1. Local-First Architecture & Data Responsibility

Unlike traditional cloud-based note-taking apps, NoteRich is designed to keep your data on your hardware. By using NoteRich, you acknowledge and agree to the following:

  • No Cloud Backups: We do not have access to your notes, nor do we maintain cloud backups of your content. If your device is lost, stolen, damaged, or experiences hardware failure, your data may be permanently lost.
  • User Responsibility: You are solely responsible for implementing your own backup strategies (e.g., using local Time Machine, external hard drives, or third-party encrypted cloud sync tools like iCloud/Dropbox on your local folders).
  • Limitation of Liability for Data Loss: NoteRich, its developers, and its affiliates shall not be held liable for any loss, corruption, deletion, or unauthorized access to your data, regardless of the cause.

2. Ephemeral AI Features

NoteRich offers AI-powered features (e.g., summarization, Q&A) that utilize third-party Large Language Models (LLMs). To preserve your privacy, we use an "ephemeral context" approach:

  • Zero Retention: Only the minimal necessary text context is sent to our AI processors to generate a response. This context is processed in temporary memory (RAM) and permanently deleted immediately after the response is returned to your device. We do not store your prompts or notes on our AI servers.
  • No AI Training: Your data is never used to train or fine-tune our foundational AI models.
  • AI Hallucinations: AI models can produce inaccurate, biased, or nonsensical information ("hallucinations"). You agree not to rely on AI-generated outputs for critical, medical, legal, or financial decisions. We provide AI features on an "AS IS" basis and disclaim all warranties regarding AI accuracy.

3. Pro Licenses & Payments

  • One-Time Purchase: NoteRich Pro is sold as a one-time perpetual license per the pricing listed on our website. It includes free updates for the duration of the purchased term.
  • No Refunds: Due to the digital nature of the software license and instant delivery, all sales are final and non-refundable, except where explicitly required by applicable local consumer protection laws.
  • Third-Party Processors: Payments are securely processed by our third-party vendor (PayProGlobal). We do not store your full credit card numbers or banking details on our servers.

4. Acceptable Use

You agree not to use the Service to:

  • Reverse engineer, decompile, or disassemble the NoteRich application.
  • Bypass or circumvent any license key validation or digital rights management (DRM) mechanisms.
  • Store, transmit, or process illegal content, malware, or material that infringes on the intellectual property rights of others.

5. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. NOTERICH EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NOTERICH, ITS DIRECTORS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Liability Cap: In no event shall NoteRich's total aggregate liability exceed the amount you paid us for the Service in the twelve (12) months preceding the claim, or Fifty US Dollars ($50.00), whichever is greater.

7. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which the NoteRich development team is primarily operating, without regard to its conflict of law provisions.

8. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes via the application or our website. Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms.
